Public Offer

This Public Offer is a proposal by Patina NFT Shop (the "Operator", "Seller") addressed to any person capable of accepting it (the "Buyer"), to conclude a contract of sale for the digital asset ("Lot") described on the corresponding lot page of this website, on the terms set out below. Placing an order and completing payment for a Lot constitutes full and unconditional acceptance of this offer.

1. Definitions

  • Lot — a single, unique, pre-minted non-fungible token (NFT) offered for sale, identified by its contract address and token ID as shown on the Platform.
  • Order — a record created when the Buyer selects a Lot and proceeds to checkout, capturing the price and delivery wallet address at that moment.
  • Acceptance — the act of placing an Order and successfully completing payment for it.

2. Subject of this offer

The Seller agrees to transfer ownership of one specific, already-minted Lot to the Buyer, and the Buyer agrees to pay the price shown for that Lot at the time the Order is created. Because each Lot is a single unique token, this offer applies only to that one Lot per Order, and only for as long as the Lot remains available (its stock status can change at any time before payment is confirmed).

3. How this offer is accepted

This offer is accepted by (a) placing an Order for a Lot and (b) the Seller's payment processor confirming successful payment. Acceptance is not complete, and no contract is formed, until both steps are done. If payment fails or the Order is cancelled beforehand, no contract arises and the Lot returns to sale.

4. Price and payment

The price is the amount displayed for the Lot at the moment the Order is created; it is fixed to that Order and does not change even if the listed price is later updated. Payment is made by bank card (or any other method offered at checkout) through the Seller's payment processor. The Seller does not receive or store the Buyer's full card details.

5. Delivery of the digital asset

Delivery is performed manually: after payment is confirmed, an authorized representative of the Seller transfers the Lot's token from the Platform's wallet to the EVM-compatible wallet address supplied by the Buyer. The Buyer is solely responsible for the accuracy of the wallet address provided; blockchain transfers are irreversible, and the Seller cannot recover or resend a token sent to an incorrect address supplied by the Buyer. Once sent, the transaction hash is recorded against the Order and made available to the Buyer, who may independently verify the transfer on the relevant public block explorer.

6. Buyer's obligations

  • Provide a valid, correct wallet address for delivery, and confirm it before completing payment;
  • Pay the full price shown for the Lot;
  • Use the Platform and the purchased Lot in accordance with these terms and applicable law.

7. Seller's obligations

  • Describe each Lot accurately, including its contract address and token ID;
  • Not sell the same Lot to more than one Buyer (each Lot's stock is reduced to zero as soon as an Order for it is accepted);
  • Transfer the token to the Buyer's supplied wallet address within a reasonable time after payment is confirmed, and record the resulting transaction hash on the Order.

8. Cancellation and failed payment

An Order that is not paid, or whose payment is declined, does not result in a contract — it is marked cancelled or failed and the Lot becomes available again immediately. Once payment is confirmed and the contract is formed, cancellation is handled case by case; contact the Seller before the token has been transferred if you believe an Order was placed in error.

9. Force majeure

Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to blockchain network congestion or outages, failures of the payment processor, or other events of force majeure. Performance is suspended, not cancelled, for the duration of such an event.

10. Liability

The Seller's liability under this offer is limited to the price paid for the affected Order. The Seller is not liable for losses arising from an incorrect wallet address supplied by the Buyer, or from causes outside its reasonable control as described in Section 9.

11. Validity and withdrawal of this offer

The Seller may amend or withdraw a Lot from sale at any time before an Order for it is accepted (i.e. before payment is confirmed), without liability to any Buyer who has not yet completed payment. This does not affect Orders that were already accepted before the change.

12. Governing law and disputes

This offer, and any contract formed by accepting it, is governed by the laws of [Governing Law / Jurisdiction to be specified before launch]. Disputes will be resolved in the courts, or other dispute-resolution forum, of that jurisdiction, unless mandatory consumer-protection law provides otherwise.
